1. Introduction

Welcome to ClayLingua. These Terms and Conditions govern your use of our online language tutoring platform. By accessing or using ClayLingua, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

2. Definitions

• Platform: ClayLingua website and mobile applications operated by ClayLingua, a UK-based company
• User: Any person who accesses or uses the Platform, including Students and Tutors
• Student: A User who seeks language tutoring services
• Tutor: A verified professional who provides language tutoring services through the Platform
• Services: All features, tools, and content provided by ClayLingua to facilitate connections between Students and Tutors

3. User Accounts

To use certain features of the Platform, you must create an account. By creating an account, you agree to:

• Be at least 18 years old or have parental consent if under 18
• Provide accurate, current, and complete information during registration
• Keep your login credentials confidential and secure
• Accept responsibility for all activities that occur under your account

4. Tutor Obligations

Tutors using the Platform agree to:

• Provide accurate information about qualifications, experience, and teaching credentials
• Maintain professional conduct at all times when interacting with Students
• Keep availability information up to date and honor scheduled sessions
• Deliver high-quality tutoring services consistent with advertised expertise

ClayLingua reserves the right to verify Tutor qualifications through manual submission and review processes. Tutors must cooperate with verification procedures, which may include submitting documents via email or messaging platforms.

5. Student Obligations

• Treat Tutors with respect and professionalism
• Make payments directly to Tutors as agreed upon between Student and Tutor
• Provide reasonable notice for lesson cancellations as per the agreed cancellation policy with your Tutor
• Provide honest and constructive feedback to help maintain quality standards

6. Platform Fees and Payments

During the MVP phase, ClayLingua does not charge Tutors any platform fees or commission. Tutors keep 100% of their lesson fees.

ClayLingua reserves the right to introduce fees in the future with reasonable notice to Users. Any future monetization strategy will be clearly communicated to all Users before implementation.

7. Payment Processing

All payments for tutoring services are made directly between Students and Tutors. ClayLingua does not process, hold, or facilitate payment transactions during the MVP phase.

Students and Tutors are solely responsible for negotiating payment terms, methods, and schedules. ClayLingua is not responsible for any payment disputes between Students and Tutors.

8. Cancellation and Refunds

Cancellation policies and refund terms are determined by individual Tutors and should be agreed upon between the Student and Tutor before booking lessons.

ClayLingua is not responsible for mediating cancellation or refund disputes but may provide guidance to help Users resolve issues amicably.

9. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of ClayLingua and is protected by intellectual property laws.

By uploading content to the Platform (such as profile pictures, videos, or teaching materials), you grant ClayLingua a non-exclusive, worldwide license to use, display, and distribute this content solely for the purpose of operating the Platform.

10. Prohibited Activities

• Engaging in any illegal or fraudulent activities
• Misrepresenting qualifications, experience, or credentials
• Uploading harmful, offensive, or inappropriate content
• Spamming, harassing, or abusing other Users
• Attempting to circumvent the Platform to conduct transactions off-platform in order to avoid future fees (once implemented)

11. Limitation of Liability

ClayLingua acts as a facilitator connecting Students with Tutors. We do not guarantee the quality, accuracy, or reliability of tutoring services provided by Tutors.

The Platform is provided "as is" without warranties of any kind. ClayLingua does not warrant that the Platform will be error-free or uninterrupted.

To the maximum extent permitted by law, ClayLingua shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.

12. Termination

You may terminate your account at any time by contacting support@claylingua.com.

ClayLingua reserves the right to suspend or terminate accounts that violate these Terms, engage in prohibited activities, or pose a risk to other Users or the Platform.

13. Changes to Terms

ClayLingua may update these Terms from time to time. We will notify Users of significant changes via email or through the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
